BY-LAWS OF THE

                                       PISCATAQUIS COUNTY REPUBLICAN COMMITTEE

 

Article I

Sec. 1.0 Name and Purpose

The name of this committee shall be “The Piscataquis County Republican Committee” hereinafter called “County Committee”. Its purpose shall be to represent the enrolled Republican voter of Piscataquis County, to create a better Republican Party presence and to recruit, train, elect and support Republican office holders, to provide leadership for the local municipal committees, and to support the state platform of the Republican Party.

Article II

Sec. 2.0 Membership

Sec. 2.1 Qualifications for Membership

All members of the County Committee shall be enrolled Republicans.

Sec. 2.2 Members

All elected County Republican office holders, Republican State Senators
and Republican State Representatives representing Piscataquis County shall
be full members of the County Committee. Town Chairs and sitting
county executive officers are defacto members.

Sec. 2.3 Appointment and Apportionment

Other members shall be elected by each Republican Town Committee at their biennial caucus in the County according to the following formula:  One (1) member for every
Three Hundred (300) enrolled Republicans or portion thereof in the respective
towns as of the date used by the Maine Republican Party when setting the
number of Delegates to the Republican State Convention.

Sec. 2.4 Membership At Large

The County Committee may, if it deems advisable, appoint members at large
not to exceed four (4).

Sec. 2.5 Honorary Members

The County Committee may, if it deems advisable, appoint non-voting
Honorary Members.

Sec. 2.6 Attendance

Any member not attending three consecutive meetings without just cause may
be dropped from voting Membership, as decided by the executive committee.

Sec. 2.7 Vacancies

Vacancies occurring on the County Committee shall be filled by action of the
Town Committee where the vacancy occurs within one month of the effective date of the vacancy, or by the County Committee if the Town Committee fails to so act.

ARTICLE III

Sec. 3.0 Officers and Elections

Sec. 3.1 Officers

The officers of the County Committee shall be a Chairperson, Vice-
Chairperson, Secretary, Treasurer, and State Committee Man and
Committee Woman each having the powers and duties customarily associated with each
office and as may further be delineated by the County Committee.

Sec. 3.2 Elections

The officers shall be elected biennially by the members of the County
Committee from among its current membership at its first meeting
following the State Convention.

ARTICLE IV

 Sec. 4.0 Duties of the County Committee

The County Committee shall be responsible for the election of Republicans to
public office and for the general welfare of the Republican Party in Piscataquis
County; shall take whatever lawful steps reasonably necessary to strengthen the
Party, especially to encourage all citizens to register and enroll in the
Republican Party and to vote in countywide elections; to provide such publicity
and to arrange rallies and other meetings as may seem wise; to communicate
proper information to the public; to cooperate with State and Town Committees;
and to do such other things as may be necessary in furtherance of the foregoing.
The County Committee shall not support any individual candidate before the
primary, although members may support candidates in their individual capacity
but shall not use their committee membership as a platform for doing so.

ARTICLE V

Sec. 5.0 Executive Committee

There is hereby constituted an Executive Committee consisting of the Officers
of the County Committee.

Sec. 5.1 Duties of the Executive Committee

It shall be the duty of the Executive Committee to authorize expenditure of all
funds for political purposes and the Treasurer shall not disburse funds
except as may be so authorized as attested by the Chairperson, or in absence
thereof or inability to act, by the Vice Chairperson of the County Committee.
The Executive Committee shall have authority to act in furtherance of the duties
set forth in Article IV between meetings of the County Committee, but shall be
bound by any instructions given it by the County Committee at any duly
convened meeting at which a quorum is present.

Sec. 5.2 Meetings; Notice; Quorum

Meetings of the Executive Committee shall be called by the Chairperson, or
if absent or unable to act, by the Vice-Chairperson.  All members of
the Executive Committee shall have actual personal notice of any meeting or a
written notice of the meeting shall be delivered via U.S, Mail or Email or other electronic means, at least forty-eight hours before such meeting unless such notice is waived by a majority of the executive committee. The notice may be signed by the Chairperson or Vice-Chairperson or Secretary.  A majority of the members of the Executive Committee shall constitute a quorum.

ARTICLE VI

Sec. 6.0 Voting and Proxies

Each member of the County Committee shall be entitled to one vote on the issues at
any regular or special meeting if present in person or may appoint a proxy in
writing so long as such proxy is from the municipality as the member making the
appointment.  A proxy may not represent more than one member of the County
Committee.

ARTICLE VII

Sec. 7.0 Meetings

Sec. 7.1 Calling

A meeting of the County Committee may be held at any time upon the call of the
Chairperson, or if absent or unable to act, by the Vice-Chairperson.
Upon written petition of at least ten (10) members of the Committee filed with any
member of the Executive Committee representing at least two (2) towns.  Such request shall state the purpose of the meeting being called. Such member of the Executive Committee
shall instruct the Secretary to call a meeting and if the Secretary fails to do so, any
other member of the Executive Committee may call such meeting. The meeting must be called within 14 days of the request.

Sec. 7.2 Notice

Notice of any meeting shall be given in writing by mail or email to
members at least three (3) days before such meeting is to be held.  The notice shall
state the time and place of the meeting and so far as possible the purpose of the meeting.

Sec. 7.3 Access

All meetings of the County Committee shall be open to all registered Republicans and all others as allowed by the chair, except Executive Sessions; however, only members of the County Committee shall be entitled to vote.

Sec. 7.4 Roll Call

At each meeting of the County Committee a roll call of members by town shall be
taken by the Secretary.

ARTICLE VIII

Sec. 8.0 Quorum

Seven (7) members of the County Committee shall constitute a Quorum.

ARTICLE IX

Sec. 9.0 Procedure

Robert’s Rules of Order Revised shall govern all proceedings of the County
Committee, except when inconsistent with these By-laws.

 ARTICLE X

Sec. 10.0 Amendment of By-laws

These By-laws may be amended at any regular meeting of the County Committee
by a two-thirds (2/3rds) vote of those present, provided that any amendment has
been submitted in writing at the previous meeting.
